These terms govern your access to and use of the FileSure API — a REST API providing programmatic access to corporate-registry data sourced from the Ministry of Corporate Affairs (MCA) and other public sources. Please read them carefully before creating an API key.

1.Introduction

1.1 Overview

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", "Customer" or "User") and FileSure India Private Limited ("Filesure", "we", "us" or "our"), governing your access to and use of the FileSure API and related developer portal, documentation, and dashboard (collectively, the "Services").

The Services provide programmatic access, over a REST API authenticated by API keys, to corporate data sourced from the Ministry of Corporate Affairs (MCA) V2 and V3 portals and other public sources — including company master data, associated directors, registered charges, statutory filings, downloadable documents, and extracted financial data.

By creating an account, generating an API key, or otherwise accessing or using any part of the Services, you expressly agree to be bound by these Terms, our Privacy Policy, our Refund & Cancellation Policy, and any other policies incorporated herein by reference.

1.2 Acceptance of Terms

Your use of the Services signifies your acknowledgment that you have read, understood, and agree to comply with these Terms in their entirety. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with any part of these Terms, you must not access or use the Services.

1.3 Modification of Terms

Filesure reserves the right to amend, modify, or update these Terms at any time. Material changes will be communicated through a conspicuous notice on the Services, the developer portal, or by direct communication where feasible. Continued use of the Services following such notice constitutes acceptance of the updated Terms. You are responsible for reviewing these Terms periodically.

2.Definitions

For the purposes of these Terms:

  • "Services" / "API" means the FileSure REST API, developer portal, dashboard, documentation, and any related tools provided by Filesure.
  • "API Key" means the secret credential (including live keys prefixed fsk_live_ and test keys prefixed fsk_test_) issued to you to authenticate requests to the API.
  • "Call" / "Request" means a single API request made to an endpoint using your API Key.
  • "Wallet" means the prepaid balance, denominated in Indian Rupees (₹), held against your account and drawn down as you use billed endpoints.
  • "Unlock" means a billed action that initiates the retrieval or refresh of a specific company's or director's data and grants you access to it for the applicable period.
  • "Sandbox" means the test environment, accessed with a test API Key, which returns data only for a fixed whitelist of sample records and does not draw down the Wallet.
  • "Personal Data" means information relating to an identified or identifiable natural person, as defined under applicable data-protection laws.
  • "Intellectual Property Rights" / "IPR" means all copyrights, trademarks, patents, trade secrets, database rights, and other proprietary rights in any content or technology provided through the Services.
  • "Third-Party Services" means websites, portals, or services operated by entities other than Filesure, including the MCA and GST portals and payment gateways.
  • "Force Majeure" means events beyond Filesure's reasonable control, including natural disasters, war, terrorism, government action, labour disputes, or technical failures affecting service delivery.

3.Eligibility

3.1 User Eligibility

The Services are intended for individuals and entities legally competent to enter into binding contracts under applicable law. By accessing or using the Services, you represent and warrant that you:

  • are at least eighteen (18) years of age or have reached the age of majority in your jurisdiction;
  • have the legal capacity and authority to enter into and be bound by these Terms, including on behalf of any entity you represent;
  • are not prohibited or restricted by any applicable law, regulation, or order from using the Services.

3.2 Account and API Key Registration

Access to the API requires you to register an account and generate one or more API Keys. When registering, you agree to provide true, accurate, current, and complete information, and to keep it updated. Filesure may, at its sole discretion, refuse registration, suspend, or terminate accounts where eligibility criteria are not met, where information provided is false or misleading, or for any violation of these Terms.

4.Accounts and API Keys

4.1 Key Security

You are solely responsible for maintaining the confidentiality and security of your API Keys and account credentials. API Keys grant access to billed Services and must be treated as secrets — never embedded in client-side code, public repositories, or shared insecurely. You agree to notify Filesure immediately of any unauthorized use, suspected compromise, or loss of a key, and to rotate compromised keys promptly. Filesure shall not be liable for any loss or charges arising from your failure to safeguard your keys.

4.2 Responsibility for Usage

You are responsible for all activity conducted under your API Keys, including all charges drawn down from your Wallet, whether or not authorized by you. Multiple keys under a single account share one Wallet. You agree to use the Services in compliance with applicable laws and these Terms.

4.3 Account Termination

Filesure reserves the right to suspend, restrict, or terminate your account, keys, and access to the Services at its sole discretion, including for: violation of these Terms; fraudulent, abusive, or unlawful conduct; a Wallet balance insufficient to cover usage; or security concerns. Upon termination, your right to access the Services ceases immediately.

5.Use of the API

5.1 Permitted Use

Subject to your compliance with these Terms, you may use the API and the data it returns to build, operate, and improve your own applications, products, and internal systems. You agree to use the Services only for lawful purposes.

5.2 Prohibited Conduct

You shall not:

  • resell, redistribute, sublicense, or otherwise make available the raw API responses in bulk as a standalone data product, data feed, or as a substitute for the API, or use the Services to build a competing data API;
  • misrepresent the source of the data or remove, alter, or obscure any attribution, proprietary notices, or labels;
  • attempt to gain unauthorized access to any portion of the Services, other accounts, or connected systems, or interfere with or disrupt the integrity, security, or performance of the Services;
  • circumvent, disable, or exceed rate limits, usage quotas, billing, or any authentication mechanism;
  • use the Services to transmit malware or harmful code, or to engage in any unlawful, deceptive, defamatory, or infringing activity;
  • use the data in any manner that violates applicable laws, including data-protection, anti-spam, or telemarketing regulations.

5.3 Rate Limits and Fair Use

The Services are subject to rate limits and fair-use thresholds, which may be enforced and adjusted to protect availability for all customers. Filesure may throttle, suspend, or limit requests that materially exceed normal usage patterns or threaten the stability of the Services.

5.4 Intellectual Property in the Services

All software, trademarks, logos, documentation, database structure, and materials provided through the Services are owned by or licensed to Filesure and protected by applicable intellectual-property laws. Your use of the Services grants you no ownership rights in such materials beyond the limited licence in Section 9.

6.Access and Availability

6.1 Service Availability

Filesure strives to keep the Services available and performant, but does not guarantee uninterrupted, timely, secure, or error-free access. The Services are provided without any committed uptime, service-level agreement, or service credits unless separately agreed in a written enterprise contract signed by Filesure. Access may be suspended, restricted, or temporarily unavailable due to scheduled maintenance, technical upgrades, system failures, MCA or GST portal outages, third-party disruptions, or other events beyond Filesure's reasonable control.

6.2 Interruptions and Maintenance

Filesure may perform scheduled or unscheduled maintenance that could temporarily disrupt access. Where reasonably practicable, Filesure will provide advance notice of planned maintenance through the portal, status communications, or email.

6.3 Third-Party Dependencies

The Services depend on upstream government portals (including the MCA V2/V3 and GST portals) and other third-party systems that Filesure does not own or control. Filesure is not responsible for their availability, content, accuracy, or policies, and delays or failures originating from such sources are outside Filesure's control.

7.Data Accuracy and Updates

7.1 Source of Data

Filesure sources its data from official government repositories, including the MCA V2 and V3 portals and, where applicable, the GST portal via authorized GST Suvidha Providers, together with other authorized and publicly available sources. While Filesure endeavours to keep data accurate and current, it does not guarantee the completeness, accuracy, or timeliness of any data, owing to dependencies on third-party sources and technical limitations.

7.2 No Warranty on Accuracy

The data is provided "as is", without warranties of any kind, express or implied, including warranties of accuracy, reliability, completeness, or fitness for a particular purpose. Filesure expressly disclaims liability for any errors, omissions, inaccuracies, or delays arising from the original sources or technical constraints.

7.3 Responsibility for Verification

You acknowledge that information obtained through the Services should be independently verified before use in any legal, financial, lending, or business decision. Filesure shall not be liable for any damages, losses, or consequences resulting from reliance on inaccurate, incomplete, or outdated information.

8.Fees, Wallet and GST

8.1 Prepaid Wallet

The Services operate on a prepaid model. You maintain a Wallet balance, denominated in Indian Rupees (₹), which is drawn down as you use billed endpoints and Unlocks. Per-endpoint pricing applicable to your account is shown on your dashboard and rate card and may be updated with notice through the portal.

8.2 Recharge and Payment

You may top up your Wallet through the authorized payment gateway made available on the platform (currently Zoho Payments). You agree to provide accurate, complete, and current payment information and authorize Filesure to charge the amounts you select. Minimum and maximum recharge amounts are shown in your dashboard.

8.3 Taxes (GST)

All fees are exclusive of taxes. Goods and Services Tax (GST) at the applicable statutory rate (currently 18%) is added to each Wallet recharge. A GST tax invoice is issued for each recharge to the billing details on your account. You are responsible for providing accurate billing and GSTIN details where you wish them reflected on the invoice.

8.4 Per-Call Billing

Charges for billed endpoints and Unlocks are deducted from your Wallet at the point of a successful response, to the paisa. Failed calls are not charged — requests that do not return a successful response do not draw down your Wallet. Sandbox (test-key) usage is never charged. Charges for successfully delivered calls and Unlocks are final and non-refundable except as set out in the Refund & Cancellation Policy.

8.5 Insufficient Balance

Billed requests require a sufficient Wallet balance. When your balance is insufficient to cover a request, that request is declined until you top up. Filesure may suspend or restrict access to billed Services where the balance is exhausted.

8.6 Changes to Fees

Filesure may modify pricing or introduce new charges upon reasonable prior notice through the platform or other communication channels. Continued use following the effective date of a price change constitutes acceptance.

9.Intellectual Property

9.1 Ownership

All content, materials, trademarks, logos, software, and database compilations made available through the Services are owned by or licensed to Filesure and protected under applicable intellectual-property laws and international treaties. Underlying public records remain in the public domain to the extent provided by law.

9.2 Licence Grant

Subject to your full compliance with these Terms, Filesure grants you a limited, non-exclusive, non-transferable, revocable licence to access the API and to use the data it returns within your own applications, products, and internal business operations.

9.3 Restrictions

Except as expressly permitted, you shall not, without Filesure's prior written consent:

  • reproduce, redistribute, or commercially exploit the raw API responses in bulk as a standalone dataset or competing data service;
  • reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying technology of the Services;
  • remove, alter, or obscure any proprietary notices; or
  • use the Services in any manner that infringes third-party rights or violates applicable law.

10.Privacy and Data Protection

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, process, and protect Personal Data. By using the Services, you acknowledge that you have read and understood the Privacy Policy and consent to such processing in accordance with it and applicable law.

Filesure complies with applicable data-protection laws, including the Digital Personal Data Protection Act, 2023, and implements appropriate technical and organizational measures to safeguard Personal Data. You are independently responsible for ensuring that your own collection, storage, and use of data obtained through the Services complies with all laws applicable to you, including obtaining any consents required for your use case.

11.Disclaimers and Limitation of Liability

11.1 No Warranty

The Services and all data provided through them are offered on an "as is" and "as available" basis. Filesure expressly disclaims all warranties, whether express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Liability

To the fullest extent permitted by applicable law, Filesure and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, goodwill, or business interruption, arising from or related to your use of or inability to use the Services. To the maximum extent permitted by law, Filesure's total aggregate liability arising out of or relating to the Services shall not exceed the total fees paid by you to Filesure for the Services in the three (3) months immediately preceding the event giving rise to the claim.

11.3 Indemnification

You agree to indemnify, defend, and hold harmless Filesure and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, your violation of applicable law, or your misuse of the Services or the data obtained through them.

12.Termination and Suspension

12.1 Grounds

Filesure may, at its sole discretion, suspend, restrict, or terminate your access to the Services, including your account and API Keys, without prior notice or liability, for reasons including: violation of these Terms, the Privacy Policy, or applicable law; fraudulent, abusive, or harmful conduct; non-payment or chargebacks; or security concerns including suspected unauthorized access.

12.2 Effects of Termination

Upon suspension or termination, your right to access and use the Services ceases immediately. Any unused Wallet balance is handled in accordance with the Refund & Cancellation Policy. Termination does not relieve you of obligations or fees accrued before termination, nor limit Filesure's rights or remedies under law or contract. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.

13.Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. The courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Services.

13.2 Dispute Resolution

In the event of any dispute, controversy, or claim, the parties shall first attempt to resolve the matter amicably through good-faith negotiation within a reasonable period.

13.3 Arbitration / Mediation

If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration or mediation in Mumbai, Maharashtra, pursuant to the Arbitration and Conciliation Act, 1996 or any successor legislation. Proceedings shall be conducted in English, and any award or settlement shall be final, binding, and enforceable on the parties.

14.Miscellaneous

14.1 Force Majeure

Filesure shall not be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including natural disasters, acts of government, terrorism, strikes, or technical failures.

14.2 Entire Agreement

These Terms, together with the Privacy Policy, the Refund & Cancellation Policy, and any other policies referenced herein, constitute the entire agreement between you and Filesure regarding the Services, superseding all prior agreements or understandings.

14.3 Severability

If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

14.4 Waiver

No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default. Any waiver must be in writing and signed by an authorized representative of Filesure.

14.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without Filesure's prior written consent. Filesure may assign or transfer its rights and obligations at its discretion.
